1. Introduction & Acceptance of Terms

Welcome to Bio Manager, accessible via miqr.in (the “Platform”, “Service”, “we”, “us”, or “our”). This Terms of Service agreement (“Agreement”) forms a legally binding electronic contract between you (“User”, “Creator”, or “you”) and Bio Manager, governed under the provisions of the Information Technology Act, 2000 (India), the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and relevant international consumer and electronic commerce protection statutes.

By accessing, browsing, registering an account, generating a customized bio profile, utilizing our QR code generator, or clicking any link hosted on the miqr.in domain, you acknowledge that you have read, understood, and irrevocably agree to be bound by all clauses, terms, conditions, and notices contained or referenced herein. If you do not consent to this Agreement in its entirety, you are strictly prohibited from utilizing the Platform, and must cease all access immediately.

2. Eligibility & Registration Requirements

To establish an account or publish a public bio-link page on miqr.in, you represent and warrant that:

• You are at least 18 years of age, or the legal age of majority in your jurisdiction, and possess full legal capacity to enter into binding electronic contracts. Minors aged 13 to 17 may only use the platform under the active supervision and explicit consent of a parent or legal guardian.
• All information submitted during registration—including your email address, chosen handle, and display name—is true, accurate, current, and complete.
• You shall not impersonate any person or entity, misrepresent your affiliation with any person or organization, or select a username that infringes upon the trademark or intellectual property rights of third parties.
• You are solely responsible for maintaining the strict confidentiality of your account credentials, passwords, and access tokens, and for all activities that occur under your profile.

3. Acceptable Use Policy & Prohibited Activities

Bio Manager operates as a technology intermediary providing digital identity aggregation, QR code routing, and link customization tools. You agree that your use of the Platform shall comply with all applicable local, national, and international laws. You explicitly agree NOT to host, display, upload, modify, publish, transmit, or share any link, content, or media that:

We enforce automated scanning, community reporting, and proactive security monitoring. Any account found violating this Acceptable Use Policy will face immediate termination, revocation of the miqr.in username, and referral to relevant cyber law enforcement authorities.

4. Username Allocation, Reservation & Trademark Protection

We provide customizable vanity handles in the format miqr.in/[username]. You acknowledge that:

• A registered handle does not confer permanent proprietary ownership over that word or phrase. You are granted a revocable, non-exclusive license to use the handle during the active lifetime of your account.
• Trademark Infringement: Registered trademark holders may file a trademark complaint against handles that infringe on their brand equity. Bio Manager reserves the right to reassign or reclaim any handle that infringes on a legally registered trademark or is held in bad faith (squatting).
• Handle Squatting & Inactivity: Registering handles with the intent to resell, barter, or hoard them without active legitimate use is prohibited. Handles inactive for more than twelve (12) consecutive months may be reclaimed and re-released to the community.

5. Intellectual Property & Content Ownership

Your Content: You retain complete ownership of all trademarks, logos, texts, links, photographs, and media you upload or configure within your Bio Manager profile. By publishing content to our service, you grant Bio Manager a worldwide, royalty-free, non-exclusive license to host, cache, route, display, and format your content solely for the technical purpose of delivering the Service to visitors.

Platform Intellectual Property: All software code, visual designs, template architectures, algorithms, trademarks, logos, audio-visual layouts, and interface components comprising Bio Manager and the miqr.in domain are the exclusive proprietary property of Bio Manager and its licensors, protected by international copyright, patent, and trademark treaties. You may not decompile, reverse-engineer, mirror, or duplicate our templates without written permission.

6. QR Code Generation & Outbound Link Disclaimers

Bio Manager generates dynamic and static QR codes pointing to your bio profile on miqr.in. You understand that:

• Prior to physical printing on merchandise, business cards, billboards, or marketing collateral, you must thoroughly scan and verify the generated QR code across multiple physical devices and camera lenses. Bio Manager bears zero liability for commercial printing costs or damages resulting from unverified codes.
• Bio Manager is not responsible for the content, privacy policies, uptime, or practices of third-party websites linked through user profiles. Clicking third-party links is at the visitor’s sole discretion and risk.

7. Limitation of Liability & Warranty Disclaimer

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME GUARANTEES, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL BIO MANAGER, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES—RESULTING FROM (I) YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICE; (II) ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE; (III) UNAUTHORIZED ACCESS OR ALTERATION OF YOUR TRANSMISSIONS; OR (IV) ANY SERVICE OUTAGES OR MAINTENANCE DOWNTIME.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the laws of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, shall first be submitted to mutual amicable consultation.

If unresolved within thirty (30) days, the dispute shall be resolved through final and binding arbitration administered under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be New Delhi, India, and proceedings conducted in the English language. Subject to arbitration, the courts situated in New Delhi, India, shall retain exclusive territorial jurisdiction.

9. DMCA & Copyright Infringement Takedown Policy

Bio Manager strictly respects the intellectual property rights of creators, authors, and artists worldwide. We comply with the provisions of the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, and the Indian Copyright Act, 1957 (as amended). If you hold a copyright or are an authorized agent thereof and believe that any profile, link, logo, or thumbnail hosted on the miqr.in network infringes upon your copyright, you may submit a formal Notice of Claimed Infringement.

To be legally effective, your written notification must include substantially the following information:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
• Identification of the copyrighted work claimed to have been infringed, or, if multiple works at a single online site are covered by a single notification, a representative list of such works.
• Identification of the specific material or link on miqr.in that is claimed to be infringing or to be the subject of infringing activity, with reasonably sufficient detail to allow us to locate the material (including direct URL paths).
• Information reasonably sufficient to permit Bio Manager to contact the complaining party, such as an address, telephone number, and valid email address.
• A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Please direct all copyright infringement claims to our Designated Copyright Agent at legal@miqr.in with the subject header “DMCA Takedown Notice”. Upon receipt of a valid notice, we will expeditiously remove or disable access to the infringing material and notify the affected account holder. Repeat infringers will have their accounts permanently terminated.

10. Indemnification & Hold Harmless Obligations

You agree to defend, indemnify, and hold harmless Bio Manager, its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney’s fees and litigation disbursements) arising from or related to:

• Your access to, use of, or inability to use the Platform, including any links, bio content, or QR codes published through your profile.
• Your breach or alleged violation of any provision, covenant, or warranty of this Agreement or our Acceptable Use Policy.
• Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, property, privacy, or publicity right.
• Any claim or assertion that content or destination links hosted on your miqr.in page caused damage, financial fraud, phishing, or malware contamination to a third party or visitor.
• Your violation of any applicable statutes, administrative regulations, or judicial orders in connection with your commercial or personal activities on the web.

11. Service Level Availability & Modifications

Bio Manager targets 99.9% uptime across its global edge delivery network. However, you acknowledge that scheduled maintenance, emergency security hotfixes, distributed denial-of-service (DDoS) mitigations, telecommunications outages, and upstream cloud infrastructure disruptions may occasionally cause intermittent service downtime.

Bio Manager reserves the unilateral right, at its sole discretion, to modify, update, deprecate, suspend, or discontinue any feature, template, widget, or capability of the Platform at any time without prior liability. Substantial modifications affecting core account functionality will be communicated via your registered administrative email address or through in-dashboard notification banners.

12. Severability, Waiver & Entire Agreement

Entire Agreement: This Agreement, together with the Privacy Policy, Cookie Policy, and Security Guidelines, constitutes the entire and exclusive understanding and agreement between you and Bio Manager regarding the Platform and supersedes all prior oral or written agreements or understandings.

Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitral tribunal, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remaining provisions of this Agreement shall continue in full force and effect.

No Waiver: The failure of Bio Manager to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
